THESE GENERAL TERMS OF SERVICE (the "Terms") are a legal and binding agreement between Markt AI LTD, a private limited company registered in England and Wales under company number 16133663 ("AskHook," "We," "Us," or "Our") and you, or if you represent an employer or client, then the employer or client ("You," "User," or "Client"), governing your use of the AskHook website (askhook.com), the AI-powered Instagram content analysis services, and all other related services that AskHook provides (collectively the "Services").
AskHook reserves all rights to change or update these Terms at any moment and at its sole discretion, by posting on its Website or by providing any other notice. Where practicable, we will provide at least 30 days' notice before changes that materially affect your rights come into effect. Your rights under these Terms will be subject to the most current version posted on the Website.
PLEASE CAREFULLY READ THESE TERMS. BY SUBSCRIBING TO, ACCESSING, OR USING THE WEBSITE OR THE SERVICES, YOU AGREE THAT YOU HAVE READ AND AGREE, WITHOUT RESERVATIONS, TO BE BOUND BY THE LATEST VERSION OF THIS AGREEMENT.
The Services are exclusively reserved for professional or business use and are not available to individuals under the age of 18.

Article 1. Definitions
Each capitalized term herein shall have the meaning given below unless otherwise expressly stated.
Article 2. Service Description & Scope
2.1. Platform Purpose: AskHook provides an AI-powered platform for analyzing public Instagram content to generate business insights, trend forecasts, and performance analytics.
2.2. Service Offerings: Services include, but are not limited to, Instagram profile scraping (facilitated through Our data providers), video analysis, an AI chat assistant, performance analytics, data visualization, creative brief building, storyboard generation, and API access (for certain Subscription Plans).
2.3. Subscription Tiers: We offer various Subscription Plans (e.g., Free, Starter, Creator, Growth, Enterprise) with specific features, usage quotas (e.g., number of audits, videos per audit, AI assistant usage), and limitations as detailed in Our Pricing Information.
2.4. Geographic Availability: The Services are generally available globally, subject to any applicable legal or technical restrictions.
Article 3. User Account & Registration
3.1. Eligibility: You must be at least 18 years of age and have the legal capacity to enter into this Agreement. By using the Services, You represent and warrant that You meet these requirements.
3.2. Account Creation: To use most features of the Services, You must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We offer various registration methods, including email/password, and may integrate with third-party authentication services.
3.3. Account Responsibility: You are responsible for safeguarding Your Account credentials (password, access tokens) and for all activities that occur under Your Account. You agree to notify Us immediately of any unauthorized use of Your Account. AskHook will not be liable for any loss or damage arising from Your failure to comply with this security obligation.
3.4. Account Termination:
* By User: You may terminate Your Account at any time through Your Account settings or by contacting Us.
* By AskHook: We reserve the right to suspend or terminate Your Account and access to the Services, with or without notice, if You breach these Terms, engage in Prohibited Activities (Article 4), fail to make timely payments (Article 5), or if Your use of the Services poses a security risk, violates applicable law, or is otherwise deemed harmful to Us or other users, at Our sole discretion. Conditions for termination are further detailed in Article 6.
Article 4. Acceptable Use Policy
4.1. Permitted Uses: You may use the Services to analyze publicly available Instagram content for legitimate business insights, market research, content strategy development, and competitive analysis, in accordance with Your Subscription Plan.
4.2. Prohibited Activities: You shall not, and shall not permit any third party to:
* Analyze private Instagram accounts or content for which You do not have explicit permission from the account owner.
* Engage in bulk scraping or data extraction that exceeds the limits of Your Subscription Plan or places an unreasonable load on Our or Our data providers' infrastructure.
* Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services or Our AI analysis methods.
* Share Your Account login credentials with any third party or allow multiple individuals to use a single-user Account, except where explicitly permitted by Your Subscription Plan (e.g., team features in higher tiers).
* Use the Services for spamming, harassment, or any unlawful or unethical purpose.
* Violate Instagram's Terms of Service, Community Guidelines, or Platform Policies.
* Upload, analyze, or share any content that is illegal, defamatory, infringing, obscene, or hateful.
* Introduce any viruses, worms, trojan horses, or other malicious code into the Services.
* Use the Services to build a competitive product or service.
4.3. Content Guidelines: The Services are intended for the analysis of publicly accessible Instagram profiles. You are solely responsible for ensuring that You have the right to analyze any User Content You submit to the Services.
4.4. Rate Limiting & Quotas: Your use of the Services is subject to the usage quotas and limitations specified in Your Subscription Plan (e.g., number of audits, videos per audit, API calls). We reserve the right to enforce these limits, which may include preventing further use beyond quotas or, for certain plans, applying overage charges as agreed.
Article 5. Subscription Plans – Financial Terms
5.1. Subscription Plans & Features: We offer various Subscription Plans as detailed in Our Pricing Information on Our Website (askhook.com). These generally include Free, Starter, Creator, Growth, and Enterprise tiers, each with distinct features and quotas.
5.2. Free Trials: We may offer free trials for certain paid Subscription Plans (e.g., a 7-day free trial providing access to features typically found in Our Starter, Creator, or Growth plans). The duration and terms of such trials will be specified at the time of signup. Unless You cancel before the end of the trial period, Your Account may be automatically converted to the corresponding paid Subscription Plan, and You will be billed accordingly. The "Free Plan" itself provides a way to try the service with limited features before committing to a paid plan.
5.3. Billing and Payment:
* Paid Subscription Plans are billed on a recurring basis (e.g., monthly or annually) in advance.
* Payments are processed through Our third-party payment processor(s). By subscribing to a paid plan, You agree to their terms of service where applicable.
* All fees are exclusive of applicable taxes (e.g., VAT), which will be added to Your invoice where required by law.
5.4. Price Changes: We reserve the right to change the fees for Our Subscription Plans. We will provide You with reasonable prior notice of any price changes, typically at least 30 days. For existing subscriptions, price changes will take effect at the start of the next billing cycle following the notice period. If You do not agree to the price change, You may cancel Your subscription before the change takes effect.
5.5. Failed Payments: If a payment fails, We will notify You and may attempt to re-process the payment. If payment is not successfully made within a reasonable timeframe, We reserve the right to suspend or terminate Your access to the paid features of the Services.
5.6. Overage Charges: For certain Subscription Plans (e.g., Enterprise), usage beyond specified quotas may incur overage charges as per the terms agreed upon in Your specific Enterprise agreement.
5.7. Cancellation: You can cancel Your paid Subscription Plan at any time through Your Account settings or by contacting support@askhook.com. Cancellations will take effect at the end of Your current billing period. No refunds will be issued for partial use of the Services during the current billing period, except as explicitly stated in Our Refund Policy.
5.8. Refund Policy:
* We offer a 14-day refund window for accidental purchases of new subscriptions, provided the Service has not been substantially used.
* For annual Subscription Plans, prorated refunds may be considered if the plan is cancelled within the first 30 days of the subscription term, less the value of any services used (calculated at the standard monthly rate).
* No refunds are generally provided for partial month usage, downgrades, or unused features.
* All refund requests will be assessed on a case-by-case basis. To request a refund, please contact support@askhook.com.
Article 6. Termination
6.1. Termination by You: You may terminate this Agreement and close Your Account at any time by following the instructions on the Website or by contacting Us.
6.2. Termination by AskHook: AskHook may terminate this Agreement and Your Account, or suspend Your access to the Services, at its sole discretion, effective immediately and without prior notice, if:
* You breach any material provision of these Terms.
* You fail to make timely payment of applicable fees.
* Your use of the Services violates Our Acceptable Use Policy (Article 4).
* Your conduct is harmful to AskHook, other users, or third parties.
* We are required to do so by law or by a regulatory authority.
* We discontinue the Service or a material part of it.
6.3. Consequences of Termination:
* Upon termination for any reason, Your right to access and use the Services will immediately cease.
* You will remain liable for all amounts due up to and including the date of termination.
* We will generally delete Your Account Data (including Personal Information and AI Analysis results associated with Your Account) in accordance with Our Data Retention Policy as outlined in Our Privacy Policy ([Link to Your Privacy Policy - CRITICAL: To Be Added]) and any legal obligations to retain data.
* Anonymized or aggregated data derived from Your use of the Services, which does not identify You, may be retained for service improvement and analytical purposes.
* Provisions of these Terms that by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).
Article 7. Data Collection, Use & Privacy
7.1. Instagram Data Collection:
* The Services scrape public data from Instagram profiles You specify, including videos, captions, and engagement metrics, using Our systems and third-party data provider services.
* Our handling of this data is further detailed in Our Privacy Policy ([Link to Your Privacy Policy - CRITICAL: To Be Added]).
7.2. Personal Information: We collect Personal Information such as Your name, email address, and subscription details as necessary to provide and manage the Services. Our collection and use of Personal Information are governed by Our Privacy Policy ([Link to Your Privacy Policy - CRITICAL: To Be Added]), which is incorporated by reference into these Terms.
7.3. AI Analysis Data: AI Analysis and insights are stored to provide You with the Services. We may use anonymized and aggregated AI Analysis data to improve Our algorithms and Service offerings, as detailed in Our Privacy Policy.
7.4. Chat Data (AI Chat Assistant):
* For paid Subscription Plans (Starter, Creator, Growth, Enterprise), AI chat history may be retained for up to 90 days. For the Free Plan, chat history is generally not stored. Further details are in Our Privacy Policy.
7.5. Third-Party Services: We use various third-party services to provide certain functionalities, including but not limited to data scraping, authentication, payment processing, product analytics, customer support, and data visualization. Your use of these third-party services may be subject to their respective terms and privacy policies, where applicable.
Article 8. Intellectual Property Rights
8.1. AskHook’s Intellectual Property: The Services, Website, Our AI algorithms, analysis methods, software, visual design, documentation, and all underlying technology and Intellectual Property Rights associated therewith are and will remain the exclusive property of Markt AI LTD and its licensors. These Terms do not grant You any rights to use AskHook's trademarks, logos, domain names, or other brand features.
8.2. User Content: You retain all ownership rights to the Instagram content (e.g., Your own profile's videos and data) that You direct the Service to analyze. By using the Service, You grant AskHook a worldwide, non-exclusive, royalty-free, sublicensable license to access, use, process, copy, distribute, perform, export, and display User Content solely as necessary to provide, maintain, and improve the Services for You.
8.3. AI Analysis Results: Subject to Your compliance with these Terms and payment of applicable fees, AskHook grants You a limited, non-exclusive, non-transferable license to use the AI Analysis reports and insights generated specifically for You through the Services for Your internal business purposes. You do not acquire any ownership rights in the AI Analysis methods themselves or any underlying AskHook IP.
8.4. Third-Party Content (Instagram): The Services analyze content from Instagram, which is owned by its respective creators and Instagram. Your use of such content is subject to Instagram's terms and applicable copyright laws. You are responsible for ensuring Your analysis and use of Instagram content comply with all relevant rights and permissions. The Service facilitates analysis of publicly available content.
8.5. Export Rights:
* The Free Subscription Plan does not include any data export functionality.
* Certain paid Subscription Plans may offer AI Analysis data export functionality in various formats, as detailed in Our Pricing Information on Our Website. (CRITICAL NOTE FOR ASKHHOOK: This clause is drafted to reflect "no exports for Free" and "exports may be available for paid tiers as per website details." You MUST ensure this accurately reflects your actual service offering for paid plans. If paid plans do offer exports (e.g., PDF, JSON, CSV, CRM integration), this section needs to be more specific and affirmative about those capabilities for the respective tiers.)
8.6. Feedback: If You provide AskHook with any feedback, suggestions, or ideas regarding the Services ("Feedback"), You hereby grant AskHook an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose, including to improve the Services and create other products and services.
Article 9. Service Availability & Performance
9.1. Uptime: We will use commercially reasonable efforts to make the Services available, targeting an uptime of 99%. However, We do not guarantee uninterrupted access, and the Services may be subject to downtime for maintenance, upgrades, emergency repairs, or due to failure of telecommunications links and equipment beyond Our control.
9.2. Maintenance: We may perform scheduled maintenance that could temporarily interrupt Services. We will endeavor to provide at least 48 hours' notice for such scheduled maintenance where practicable.
9.3. API Rate Limits (Instagram & AskHook): Your access to Instagram data via Our Services is subject to Instagram's API limitations and policies, as well as any rate limits imposed by Our third-party data providers. Enterprise Plans offering API access to AskHook's Services will have specified rate limits.
9.4. Analysis Processing Times: We will use reasonable efforts to complete AI Analysis within expected timeframes, but processing times may vary depending on the volume of data, system load, and complexity of the analysis.
9.5. Feature Changes: We reserve the right to modify, suspend, or discontinue any part of the Services (including features or Subscription Plans) at any time, with or without notice. We will endeavor to provide notice of material changes. AskHook will not be liable to You or any third party for any modification, suspension, or discontinuance of the Services, except for potential pro-rata refunds for prepaid, unused services if a material feature is permanently discontinued.
Article 10. AI Analysis Disclaimers
10.1. Accuracy Limitations: AI Analysis is based on algorithms and data processing. While We strive for accuracy, the AI Analysis provided by the Services is not guaranteed to be 100% accurate, complete, or error-free.
10.2. Informational Purposes Only: The AI Analysis and insights are provided for informational and strategic guidance purposes only. You are solely responsible for any decisions or actions You take based on this information.
10.3. No Investment or Business Advice: The Services do not provide financial, investment, legal, marketing, or other professional advice. Any insights should not be construed as such.
10.4. Cultural Context & Language: Our AI models may not always capture nuanced cultural references, slang, or context perfectly. The Services are primarily designed for and optimized for English language content, though other languages may be processed with varying degrees of accuracy.
Article 11. Third-Party Integrations & APIs
11.1. Instagram Compliance: We endeavor to operate in compliance with Instagram's Developer Policies and Terms of Service. However, Instagram may change its policies or technical interfaces without notice, which could affect the functionality of Our Services. We are not liable for disruptions caused by such changes.
11.2. Third-Party Services: The Services integrate with or rely on various third-party services (e.g., for data scraping, payment processing, authentication). Your use of these third-party services is subject to their respective terms and conditions. AskHook is not responsible for the performance, availability, or security of these third-party services.
11.3. Service Interruptions from Third Parties: The functionality of AskHook may be affected by interruptions or failures of these third-party services. We are not liable for any such interruptions that are outside Our direct control.
Article 12. Limitation of Liability & Disclaimers
12.1. "AS-IS" SERVICE: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.
12.2. LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARKT AI LTD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.
12.3. CAP ON LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MARKT AI LTD’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, SHALL NOT EXCEED THE LESSER OF: (A) FIVE HUNDRED US DOLLARS (USD $500.00) OR ITS EQUIVALENT IN GBP; OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO ASKHOOK FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12.4. Instagram Policy Changes: AskHook is not liable for any loss, damage, or interruption of service resulting from changes to Instagram's policies, terms, API availability, or technical measures that restrict or block access to Instagram data.
12.5. Business Decisions: You are solely responsible for any business decisions, strategies, or actions You implement based on the AI Analysis or insights provided by the Services.
12.6. Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to You. This Limitation of Liability does not affect AskHook's liability for death or personal injury arising from its negligence, nor for fraudulent misrepresentation, nor any other liability which cannot be excluded or limited under applicable law.
Article 13. User-Generated Content & Public Sharing
13.1. Public Access Links: If the Services allow You to generate public links to share AI Analysis results, You are solely responsible for the content You choose to analyze and share publicly.
13.2. Content Moderation: AskHook reserves the right, but not the obligation, to review and remove any publicly shared content or links that We deem, in Our sole discretion, to be in violation of these Terms, illegal, harmful, or otherwise inappropriate.
13.3. Copyright Compliance: You represent and warrant that You have all necessary rights and permissions to analyze any Instagram content You submit to the Services and to share any resulting AI Analysis publicly, if applicable.
13.4. Responsibility for Shared Content: You are solely responsible and liable for any AI Analysis that You share publicly or with third parties.
Article 14. Indemnification
You agree to defend, indemnify, and hold harmless Markt AI LTD, its affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees) arising from: (i) Your use of and access to the Services; (ii) Your violation of any term of this Agreement; (iii) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that Your User Content caused damage to a third party. This defense and indemnification obligation will survive the termination of this Agreement and Your use of the Services.
Article 15. Compliance & Legal Requirements
15.1. Data Protection: We process Personal Information in accordance with Our Privacy Policy ([Link to Your Privacy Policy - CRITICAL: To Be Added]) and applicable data protection laws, including the UK GDPR.
15.2. Age Verification: The Services are intended for users aged 18 and older. We do not knowingly collect Personal Information from children under 18.
15.3. International Usage: If You access the Services from outside the United Kingdom, You are responsible for compliance with all local laws applicable to Your use of the Services and Your data.
15.4. Data Export: You have the right to export Your data as provided by the features of Your Subscription Plan (if applicable) and in accordance with applicable data portability rights under laws like the GDPR.
Article 16. Platform-Specific Considerations (Instagram)
16.1. Adherence to Instagram's Terms: You agree to use the Services in a manner consistent with Instagram's Terms of Service, Community Guidelines, and Platform Policies. Any violation of Instagram's terms through Your use of AskHook may result in termination of Your AskHook Account.
16.2. AI Ethics: We are committed to the responsible use of AI. The Services are designed to provide business insights from public data and should not be used for discriminatory purposes, surveillance of private individuals without consent, or any other unethical activities.
Article 17. Technical Support & Service Levels
17.1. Support Channels: Technical support is available through channels such as Our in-app support tools and via email at support@askhook.com. Availability and scope of support may vary by Subscription Plan (e.g., "Priority support" for Growth and "Dedicated CSM" for Enterprise plans).
17.2. Response Times: We will use commercially reasonable efforts to respond to support requests in a timely manner. Specific response time objectives may apply to higher-tier Subscription Plans.
17.3. Reporting Issues: You agree to report any bugs, errors, or technical issues encountered while using the Services through the designated support channels, providing as much detail as possible.
17.4. Feature Requests: We welcome user feedback and feature requests, but We are under no obligation to implement any suggestions.
Article 18. Changes to Terms
18.1. Modification Rights: AskHook reserves the right to modify or replace these Terms at any time in Our sole discretion.
18.2. Notification Process: If We make material changes to these Terms, We will notify You by posting the updated Terms on the Website, sending an email to the address associated with Your Account, or through an in-app notification. We will endeavor to provide at least 30 days' notice for material changes.
18.3. Effective Dates: The "Last Updated" date at the top of these Terms indicates when they were last revised.
18.4. Continued Use: Your continued use of the Services after any such changes become effective constitutes Your acceptance of the new Terms. If You do not agree to the new Terms, You must stop using the Services and terminate Your Account.
Article 19. Dispute Resolution & Governing Law
19.1. Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
19.2. Exclusive Jurisdiction: Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation.
19.3. Amicable Resolution: We encourage You to contact Us at support@askhook.com to attempt to resolve any dispute amicably before initiating formal legal proceedings. The parties shall use their best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit.
19.4. Individual Dispute Resolution: All disputes must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class action, collective action, private attorney general action or other representative proceeding. This provision applies to class arbitration, and, unless we agree otherwise, the arbitrator may not consolidate more than one person’s claims.
Article 20. Miscellaneous
20.1. Entire Agreement: These Terms, together with Our Privacy Policy ([Link to Your Privacy Policy - CRITICAL: To Be Added]) and any specific terms applicable to Enterprise plans, constitute the entire agreement between You and Markt AI LTD regarding Your use of the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
20.2. Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of these Terms shall remain in full force and effect.
20.3. Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in the payment of money due and payable hereunder) for causes beyond that party's reasonable control and not caused by that party's fault or negligence, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems (other than those involving Our employees), or Internet service provider failures or delays.
20.4. No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
20.5. Assignment: You may not assign or transfer this Agreement or any of Your rights or obligations hereunder, whether by operation of law or otherwise, without Our prior written consent. We may assign this Agreement in its entirety (including all rights and obligations hereunder), without Your consent, to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of Our assets.
20.6. Notices: Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by AskHook: (i) via email (to the address that You provide); or (ii) by posting to the Website or through the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
20.7. Relationship of the Parties: The parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties.
